The comapnies act 1956 mandates 'free transferability of shares' in public companies, which raises significant apprehensions on the legality and enforceability of Right of First Refusal (ROFR), Right to First Offer (RTFO), Tag Along, Drag Along, Call Option and Put Option contained in modern day investment agreements. SEBI and RBI have also been taking stance which raises serious concerns about the enforceability of aforesaid Shareholders Privileged Right particularly with regard to the call & put options in the investment agreements.
